About the role

Ashurst Perkins Coie LLP is looking for a talented and dynamic individual to join our team as a Corporate Paralegal with our Emerging Companies & Venture Capital practice group.  The Paralegal will, under minimal supervision, assist lawyers and clients with a variety of high-level corporate and transactional paralegal duties.  They will also maintain positive contact with clients, observe confidentiality, and oversee corporate maintenance for a large number of clients across many industries. In addition, as a member of the Ashurst Perkins Coie LLP business professional support team, this position is also responsible for promoting and maintaining the goodwill and reputation of the firm.  In this capacity, the Paralegal is expected to maintain the highest level of professional conduct and confidentiality.

What you'll bring

• Excellent organizational, analytical, and communication skills.
• Accurate time record-keeping.
• Ability to establish effective working relationships with lawyers, staff, and clients.
• Proficient in proofreading, redlining, and document comparison.
• Strong knowledge of California and Delaware corporate law, federal and state securities laws, and private company M&A.
• Proficient in Microsoft Office Suite, Adobe Acrobat, and Excel.
• Fluent in Carta, Shareworks, or other capitalization management platforms.
• Ability to take initiative and exercise discretion and independent judgment.
• Experience in IPO and public company matters, including beneficial ownership tables, Section 16 reporting, Rule 144, and legend removal letters.
• Experience with secured lending is a plus.
• At least 6 years of experience as a corporate paralegal with public and/or privately held companies.
